Imagely provides a free, client-side image conversion service that allows users to convert images between various formats including PNG, JPEG, WebP, AVIF, and ICO. The service operates entirely within your web browser, ensuring that your images are processed locally without being uploaded to our servers.

2. Acceptable Use

4. Service Availability

“As Is” Service

We provide the Service on an “as is” and “as available” basis. While we strive to maintain high availability, we do not guarantee that the Service will be available at all times or that it will be free from errors or interruptions.

Service Limitations:

• The Service depends on your browser's capabilities and may not work on all browsers
• Very large images may cause performance issues or memory limitations
• Some image formats may not be supported by all browsers
• We may temporarily suspend the Service for maintenance or updates

• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO YOUR IMAGES
• DAMAGES RESULTING FROM ANY OTHER MATTER RELATING TO THE SERVICE

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Imagely and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including copyright or privacy rights
• Any content you process through the Service

9. Modifications to Terms

We reserve the right to modify these Terms at any time. We will post any changes on this page and update the “Last updated” date at the top. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

If you disagree with any changes to these Terms, you must stop using the Service.

10. Termination

You may stop using the Service at any time. We may terminate or suspend your access to the Service immediately, without prior notice, if we believe you have violated these Terms.

Upon termination, your right to use the Service will cease immediately. However, since we don't store your data, there is no account data to delete.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Imagely operates, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Imagely regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
